SCB Asset Management Co., Ltd. as the management company of CPN Retail Growth
Leasehold Property Fund ("the Fund") would like to notify the summary of
significant details of the invesment, as follows :
1. Transaction date : November 4, 2009
2. Sublessor of the Land/ Lessor of the Building : Central Pattana
Public Company Limited;
3. General characteristics of transaction : Investment in right to
sublease land,lease partial
of buildings and purchase of
movable properties;
4. Details of investment assets : Right to sublease of
approximately 25 rais
of land which is the
location of Central Plaza
Pinklao Shopping Complex
and lease of buildings with
total usable area of 185,671
square meters composed of
Central Plaza Pinklao
Shoping Complex (partial
building),Central Pinklao
Office Building Tower A
(whole building) and Central
Pinklao Office Building
Tower B (whole building
including parking space and
facilities system of the
buildings and purchase of
movable properties. The
Investment period is 15
years (ended December 31,
2024). The total investment
value is 5,680,000,000 Baht
which already paid in full
on the date of the
registration at the
Department of Land;
5. Benefits from asset disposal : Income from rental and
service fee;
6. Approval of transaction : Approved by the Unitholders'
Meeting No.1/2009 dated
August 17, 2009
Besides, investment in the leasehold right, sub-leasehold right and purchase
of moveable properties mentioned above, the Fund has taken out 1000,000,000
Baht loan from Siam Commercial Bank Public Company Limited with MLR-1.75% to
MLR -1% interest rate. The loan term is 12 years (year2009-2021) without any
collateral.
