Re: Notification of Resolutions of the Investment Committee of CPN Retail Growth Leasehold Property Fund (CPNRF)

On 17 September 2009, the Investment Committee Meeting of CPN Retail Growth Leasehold Property Fund (CPNRF) (the 'Fund') has passed a resolution to approve the capital increase of the Fund in the amount of not exceeding Baht 4,849,000,000 by issuing and offering for sale of not exceeding 546,600,000 additional investment units, provided that at least 273,300,000 units of the additional investment units shall be offered for sale and allotted to the existing Unitholders whose names appear in the register book of Unitholders ('Rights Offering') on the designated date and according to their proportion designated by the Management Company and not exceeding 273,300,000 units shall be offered for sale to investors who are retail investors ('Public Offering') and/or specific investors on a private placement basis('Private Placement') for investment in the real properties of CentralPlaza Pinklao Project and to authorize SCB Asset Management Co., Ltd. (the 'Management Company') to have the power to determine the value of the capital to be increased, the number of additional investment units to be issued and offered for sale, the price of additional investment units to be issued and offered for sale, details of loan (if any), and the price of the additional real properties to be invested in, whereby the Management Company had notified the investors the resolutions of the Investment Committee of CPNRF relating to the value of the capital to be increased, the number of additional investment units to be issued and offered for sale, and amount of loan.

Therefore, the Management Company would like to notify the resolutions of the Investment Committee dated 29 September 2009 relating to the price of additional investment units to be issued and offered for sale that the price of additional investment units to be issued and offered for sale this time be fixed at to Baht 8.90 per unit, equaling to the total number of investment units of 544,826,700 units. In this regard,the prices of the additional investment units to be issued and offered for sale for the existing Unitholders (on Rights Offering), specific investors (on Private Placement), and retail investors (on Public Offering) are the same. The Management Company will notify the offering period of the additional investment units after obtaining the approval from the Office of the Securities and Exchange Commission. At this preliminary stage,the offering period is expected to take place during 16 October 2009 to 27 October 2009.

Nevertheless, in order to be in line with the resolution of the Unitholders' Meeting of the Fund dated 17 August 2009 determining the issuance and offer for sale of the additional investment units to be issued and offered for sale to the existing Unitholders of not less than 50 percent of the total investment units to be issued and offered for sale this time, the Management Company deemed appropriate to determine the subscription ratio of the existing Unitholders to subscribe for the additional investment units to be issued and offered for sale more specific decimal digit, to be at the rate of 1 existing investment unit per 0.2505 investment unit to be issued and offered for sale this time.

The price of investment in additional real properties shall be Baht 5,680,000,000(which has included expenses for issuance of additional Investment Units of approximately Baht 100,000,000, which Central Pattana Public Company Limited will be responsible for), but excluding expenses for asset investment, (e.g.lease registration fees) in the amount of approximately Baht 160,000,000.
