Re: Notification of the Postponement of the date of Unitholders' Meeting for considering the Capital Increase of CPN Retail Growth Property Fund (CPNRF)

As CPN Retail Growth Property Fund (CPNRF) (the 'Fund') by TMB Asset Management Company Limited (the 'Management Company') has specified the date of the closing of the unitholders' register book on 10 July 2008 at 12.00 noon onwards and has specified the date which a unitholders' meeting may be held on 29 July 2008, as pursuant to the letter No. Tor Tor/Jor Tor 208/2008 and Tor Tor/Jor Tor 238/2008 accordingly.

By this letter, the Management Company wishes to further inform CPNRF's unitholders that in order to allow appropriate time for the unitholders to consider the detailed information relating to the Fund's capital increase, the Management Company deems appropriate to reschedule the date of a unitholders' meeting or the date for receiving resolutions from the unitholders through circular notice to unitholders from 29 July 2008 to 19 August 2008 at 9.00hours at the Auditorium, 7th Floor, TMB Bank Public Company Limited, Head Office, 3000 Phahonyothin Road, Khet Chatuchak, Bangkok. In this regard, the Management Company has determined the right of unitholders to attend the unitholders' meeting on 10 July 2008 at 12.00 noon as per previous schedule. In this

regard, the Management Company would like to inform that the suspension of the registration of the transfer of Investment Units will continue until the meeting is adjourned or after the resolutions have been passed. It shall be noted that such procedure for closure of the unitholders' register book for determining the rights of unitholders can be done as the Fund is not subject to the Public Limited Companies Act.

The Management Company wishes to further inform that CPNRF intends to invest in the land including shopping complex (partial) and offices buildings located in Central Plaza Pinklao Project and the land including shopping complex (partial) located in CentralPlaza Chiangmai Airport Project, subject to unitholder and regulatory approvals and the approval of the Office of the Securities and Exchange Commission being obtained in due

course including the Fund has completed the offering for sale of the Investment Units and achieve the capital increase. Such transaction is expected to be completed by November 2008.
