Fund's increasing capital Subject : Fund's increasing capital Date announced (Update) : 23-Jan-2014 Allocated to : - Unitholders Number of additional investment units : 553,950,000 (units) Ratio (Old : New) : 1 : 0.3385 Subscription price (baht per unit) : 16.00 Book-closing date for the right to : 21-Nov-2013 subscribe additional investment units Ex-rights date (XR) : 18-Nov-2013 Remark (Update) : CPN Retail Growth Leasehold Property Fund (CPNRF) (the "Fund") by SCB Asset Management Company Limited (the "Management Company") would like to notify the progress of the offering plan for the new investment units of the Fund as follows; Due to the ongoing political unrest in Thailand which creates uncertainty in the financial and capital market, the Management Company is unable to determine definitive offering period of the new investment units of the Fund. In any case, the Management Company will evaluate situation closely and further notify relevant information to unitholders through the websites of the Stock Exchange of Thailand and the Management Company in due course. The application for the capital increase of CPN Retail Grwth Leasehold Property Fund (CPNRF) (the "Fund") was approved by the Office of the SEC on 14 November 2013. The Investment Committee of the CPN Retail Growth Leasehold Property Fund (CPNRF) (the "Investment Committee") wishes to determine the price for the assessment of the institutional investors' demand for the additional investment units (Bookbuilding) at the range of Baht 15.50 - 16.00 per unit. Therefore, the Management Company would like to notify the maximum offering price which the existing unitholders shall make the payment (the "Maximum Offering Price") at Baht 16.00 per unit. In this regard, the Subscription Ratio shall be the same as that already notified to the existing unitholders by the Management Company being at the ratio of 1 existing investment unit per 0.3385 additional investment unit. SCB Asset Management Company Limited (the "Management Company") will offer for sale and allocate the additional investment units to existing unitholders and/or Private Placement Investors. The Management Company shall allocate additional investment units to the private placement in the case that the allotment ratio according to the entitlement of the existing unitholders results in any of the existing unitholders having the rights to subscribe a fraction of an investment unit that cannot be allotted as a full investment unit, such fraction of the investment unit shall be rounded down to the nearest full number.
